Alumnae Association Constitution and By-Laws
Constitution and By-Laws of the Ursuline Academy Alumnae Association of Wilmington, Delaware
Article I
Name
This Association shall be known as the Ursuline Academy Alumnae Association of Wilmington, Delaware, herein referred to as The Association.
Article II
Purposes
Section I. To unite the alumnae in the spirit of St. Angela and to foster the continuation of the Ursuline philosophy.
Section 2. To enable alumnae to be of service to each other and the Ursuline community as a whole.
Section 3. To provide opportunities and to encourage the alumnae to participate in the activities and programs of Ursuline Academy and The Association.
Article III
Membership
All those students who have graduated from Ursuline Academy shall be members of the Alumnae Association. A Student who attended the Upper School for at least one year and withdrew in good standing shall be a member of The Association.
Article IV
Officers
Section I. Composition -The officers of The Association shall consist of a President, Vice President, Recording Secretary, and Treasurer. Officers shall be selected from among The Association Board members.
Section 2. Responsibilities of Officers:
a. President - The President shall be the chief executive officer and preside over all the meetings of The Association. She shall have the power to appoint such special committees as she may deem necessary for the efficient operation of The Association. She, together with the Director of Alumnae Relations, shall sign written contracts and obligations of The Association. She shall supervise and manage The Association’s activities and perform other duties as the Board of The Association may assign her. She shall be a member of the Development Committee of the Ursuline Academy Board of Trustees.
b. Vice President - The Vice President shall attend all meetings and shall perform the duties and exercise the powers of the President during her absence. She shall perform other duties as the Alumnae Board or The Association may assign her.
c. Recording Secretary - The Recording Secretary shall attend all meetings of the Alumnae Board and of The Association, prepare minutes of the proceedings of all such meetings, and distribute these minutes as soon as possible to the Board members, to the President of Ursuline Academy, and to other persons agreed upon by the Alumnae Association Board.
d. Treasurer - The Treasurer shall attend all meetings of the Alumnae Board and of The Association and maintain all financial records for The Association. The Treasurer shall provide a written report twice a year, make all deposits, and pay all bills as due.
e. Immediate Past President - The retiring president shall continue as a member of the Alumnae Board for two years. She shall attend all meetings of the Alumnae Board and assist the President as requested.
Section 3. Vacancies - In the event the office of President becomes vacant, the Vice President shall complete the unexpired term. In the event any other office becomes vacant, such vacancy shall be filled by vote of the Alumnae Board.
Section 4. Terms of Officers - The officers of The Association shall be elected for a two-year term. All officers shall be eligible to serve a maximum of two consecutive full terms in any one office.
Article V
Alumnae Board
Section 1. Composition - The Alumnae Board shall consist of a minimum of 12 and a maximum of 18 elected members and the immediate past president. The President of Ursuline Academy and Director of Alumnae Relations are ex-officio members. The Board shall be composed of alumnae representing a diversity of class years.
Section 2. Terms of Board Members - The elected Board members shall hold office for a period of three years and may serve a maximum of two consecutive terms. One-third shall be elected annually. A member may serve a third consecutive term if said member is selected to be an officer during her last (6th) year as a Board member.
Section 3. Responsibilities - The elected members of the Alumnae Board shall accept, with a Serviam spirit, responsibility for areas of concern to The Association, including assistance to the Ursuline Academy community.
Section 4. Powers of the Board - The Alumnae Board shall be responsible for the management and control of the affairs of The Association. It shall have the power to appoint special committees or agents to aid it in carrying out its duties. Emergency decisions may be made by an Executive Committee, which shall consist of the officers, the President of the Academy, and the Director of Alumnae Relations.
Section 5. Meetings - The Alumnae Board shall meet as soon as possible after the spring elections to finalize the program for the coming year. It shall meet regularly (at least four times a year) to conduct the business of The Association. The board members may also hold special meetings as needed.
Article VI
Association Meetings
Section 1. General Meetings - General meetings, open to all Association members, shall be scheduled on a regular basis. Notice of these meetings shall be given.
Section 2. Alumnae Banquet - All members of the Alumnae Association are welcome to attend the annual banquet. Notice of the banquet shall be given to all alumnae either in the Ursuline newsletter or by special invitation for reunion classes.
Article VII
Elections
Section 1. Nominating Committee - The President shall appoint a Nominating Committee consisting of the Director of Alumnae Relations and three or more members of The Association, at least one of whom shall not be a Board member. The Committee shall serve for the period concurrent with the President’s term of office. The chairwoman of the Nominating Committee shall be designated by the President.
Section 2. Nominating Procedure - In the fall newsletter, the chairwoman of the Nominating Committee shall announce the names of the committee members and give the date by which the committee must have received suggestions of Board members from The Association membership.
Section 3. Slate of Candidates - The Nominating Committee shall present its slate of members and officers for Board approval in time for the general election. All Association members are eligible to vote.
Article VIII
Finances
The Alumnae Association shall have annual dues, which may be used for Association purposes.
Article IX
Amendment of Constitution and By-Laws
The Constitution and By-Laws may be amended, altered, changed, added to, or repealed by two-thirds majority vote of the members of the Alumnae Board present at a duly convened meeting.
